Hella Infra Market Ltd, the parent of Infra.Market, holds a live SEBI approval dated January 2026 for the roughly Rs 5,000 crore IPO it filed by the confidential route in October 2025. On 12 August 2026 the board of listed Shalimar Paints, in which Hella Infra Market is already the promoter with about 52.8%, approved a preferential share swap: up to 41.70 crore equity shares and 81.12 crore compulsorily convertible preference shares at Rs 85 apiece, about Rs 10,440 crore of non-cash consideration to 185 Hella Infra Market shareholders, alongside 1.25 crore equity shares for Rs 105.86 crore in cash and a proposed Rs 1,000 crore QIP; on completion Hella Infra Market would become an unlisted material subsidiary of Shalimar Paints and its shareholders would hold more than 77% of the enlarged listed entity. The transaction is structured as a preferential allotment rather than a scheme of merger, so no NCLT scheme has been announced, and it remains subject to shareholder, stock-exchange and regulatory approval with no EGM date set. Infra.Market has announced no change to its standalone IPO plans: press describes the swap as an alternative route to the market, or an option to take the IPO off the table, and Inc42 reports there is still no official clarity on whether the company intends to proceed with the offer.
